Terms of Service

1. About BUILD BOARD

BUILD BOARD is operated by Wisth Outdoor Products LLC ("we," "us," or "our"). These proposed terms cover our construction communication platform and its general contractor, subcontractor, supplier, and customer workspaces. Separate construction agreements remain between the parties performing and purchasing the work.

2. Accounts and access

You must be at least 18 and authorized to act for any business you represent. Provide accurate account information, protect your sign-in credentials, and use only accounts and projects you are authorized to access. General contractors manage invitations and project permissions. An invitation or a selected login role does not grant access to another company's information. Platform management is restricted to the authorized platform owner.

3. Plans, trials, and payment

Only general contractors require a BUILD BOARD subscription. Invited subcontractors, suppliers, and customers do not pay a BUILD BOARD access fee.

• Monthly: $180 USD billed monthly after the trial.
• Quarterly: $495 USD billed every 3 months after the trial.
• Annual: $1,890 USD billed annually after the trial.

The current offer includes a 30-day free trial and requires payment information. Unless cancelled before the trial ends, the selected plan becomes a recurring paid subscription. Review the amount, billing frequency, trial end, and renewal details in Stripe before authorizing payment. Stripe processes checkout for Wisth Outdoor Products LLC.

Checkout alone does not create or activate a BUILD BOARD account. Account activation and subscription records currently require platform management; automatic payment-status synchronization is not connected. A recorded invoice or payment in a project is not proof that funds have transferred.

4. Cancellation and refunds

Subscription fees are nonrefundable once a paid billing period begins, except where required by law or expressly agreed by us in writing. No prorated refunds or credits are provided for unused time, reduced usage, removed users, or a change of mind. This does not restrict remedies for unauthorized or erroneous charges, our failure to provide a legally required remedy, or any other nonwaivable right.

Cancel before your trial ends to avoid the first subscription charge, or before the next renewal to stop future charges. Cancellation takes effect at the end of the current trial or paid period, with no early cancellation fee. To request cancellation, call 262-573-2371 and provide your account email and company name. Requests must be received before the applicable renewal; our administrative processing delay will not change the effective date of a timely request. Deleting a project, removing a participant, or signing out does not cancel a Stripe subscription.

5. Project information and responsibilities

Users are responsible for the accuracy of scopes, prices, change orders, schedules, invoices, W-9 forms, insurance records, and other uploaded information. Contractors are responsible for verifying licenses, insurance coverage, permits, and compliance for their work. BUILD BOARD does not inspect construction, certify documents, guarantee payment, or provide legal, tax, engineering, or insurance advice. Confirm important approvals and contractual changes with the relevant parties and keep your own records.

6. Your content and permitted use

You retain your rights in the content you upload. You must have permission to upload and share it. You allow us to store, process, and display that content as needed to operate the service for authorized users. Do not upload unlawful material, infringe others' rights, distribute malware, impersonate another person, attempt unauthorized access, or interfere with the platform.

Use the project permissions and publication controls carefully. Do not put passwords or payment-card details in messages or uploaded files. Keep copies of important records; this draft does not promise indefinite storage or automatic backups.

7. Third-party services and availability

Sign-in, payment processing, calendar services, and other external services may have their own terms. Features described as pending or manual are not automatic integrations. Access and features may be interrupted by maintenance, third-party outages, or technical issues. BUILD BOARD does not guarantee uninterrupted availability or a particular construction or business outcome.

8. Suspension and termination

We may suspend or terminate access for a material violation of these terms, nonpayment of valid charges, fraud, unauthorized access, or conduct that threatens other users or platform security. Immediate suspension may be necessary for security incidents or unlawful activity; we may provide notice and an opportunity to resolve other issues when appropriate. A contractor may remove a participant's access to its workspace. Revoking workspace access is separate from cancelling recurring billing. These terms do not limit rights or remedies that applicable law does not permit to be waived.

9. Service disclaimers and limits of liability

To the extent permitted by applicable law, the service is provided "as is" and "as available," without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. We do not warrant the accuracy of user-submitted documents, project budgets, schedules, or construction outcomes.

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, or consequential damages, including lost profits or business opportunities arising from use of the service. Our aggregate liability for claims relating to the service is limited to the greater of $200 or the BUILD BOARD subscription fees you paid us during the 12 months before the event giving rise to the claim.

These limits do not apply to fraud, intentional misconduct, recklessness, gross negligence, or any liability or remedy that applicable law does not allow to be limited. This clause is not a release of liability for personal injury or a waiver of nonwaivable statutory rights.

10. Copyright and platform ownership

11. Updates, enforcement, and contact

A failure to enforce a provision on one occasion does not waive later enforcement. Any exception must be expressly agreed by us in writing. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Final terms and future revisions will identify their effective date; changes will not retroactively remove accrued rights. This draft does not record your acceptance or change an existing subscription agreement.
